Description
Meetings of the Board of Directors took place twice a year on average, with more frequent occurrences as the company started up. At the end of the volume these meetings only took place once a year, timed to coincide with the AGM.
The minutes of meetings of the Board of Directors record appointments of directors, the issuing of shares, the dividend and annual accounts, authorised signatories, and the appointment of auditors. Discussions on issues of strategy or company administration were not recorded or did not take place. On occasion the appointment or departure of an employee is noted.
Occasional notes on market conditions or on company performance can be found in the reports from the Board of Directors, particularly during the period of the Second World War.
The certificate of incorporation for the company as a Proprietary Company (Pty), under the 1936 Companies Act, appears in between p. 44 and p. 45. After this date the company was known as the Australasian Sheep Dip Company Pty Ltd.
